Why? Just make the offer, the shareholders are just regular customers who
happen to have a closer relationship to the business.
Making the offer a "shareholder special", "shareholder privilege" or "owners reserve", so they feel they are getting an exclusive scoop purchase should work well.
It is dangerous to let intellectualism confuse what is plain selling.
